RETAINER AGREEMENT

Enclosed is $100.00 as payment of my initial retainer deposit to American Mortgage Debt Resolution, Inc. This payment is in the form of a personal check, bank check or money order made payable to: "American Mortgage Debt Resolution, Inc." Payment by personal check will require the firm to wait an appropriate period, for check clearance, prior to beginning services. American Mortgage Debt Resolution, Inc. shall not be retained or obligated to provide any services prior to receiving this agreement, signed by the client, and receipt of the initial retainer in good funds.

This initial fee shall be for preliminary analysis of my debt situation and a recommendation as to which future steps I should take. Although the payment made along with the signing of this agreement may entitle me to a discount on future fees of up to $150, any work subsequent to the preliminary analysis shall be billed additional fees as outlined in a subsequent agreement. The discount may be applied to the first $150 of these fees and shall be honored by either American Mortgage Debt Resolution or an attorney recommend by American Mortgage Debt Resolution. Some recomended attorneys only offer $100 off. In a case where there are no options available to solve the debt situation presently or in the future a refund of $50 shall be returned to the debtor. These discounts shall not be honored or have value other than as just outlined.

Additional work by American Mortgage Debt Resolution will require an additional retainer deposit, to be determined by the debtor's case and financial status (in most instances $1000). Before preceeding with additional work a new retainer agreement must be signed which will outline a flat fee for services and other terms.

American Mortgage Debt Resolution, Inc. is being hired by the client to negotiate on their behalf or make recommendations on a consulting basis. American Mortgage Debt Resolution, Inc. is not a law firm and does not practice law. The client should retain local legal counsel separately.

The client understands and agrees that although American Mortgage Debt Resolution, Inc. may advocate on the client's behalf; the desired result may not be achieved.

All retainer funds are held in a special account and will be disbursed only after fees have accrued equivalent to the amount withdrawn from the client's retainer balance. Any interest on such funds is property of American Mortgage Debt Resolution, Inc. At the conclusion of the case, and after allowance of a reasonable time to review and account for all costs and fees, the balance of the client's retainer account, if any, shall be returned to the client.

The venue for any disputes shall be Pittsfield, Massachusetts.
